Hoku Scientific Inc. (HOKU) engages in the clean-technologies space through three business units: Hoku Materials, Hoku Solar and Hoku Fuel Cells. The Company intends to produce and market polysilicon for the solar industry through Hoku Materials in a facility in Pocatello, Idaho, which is currently under construction. HOKU markets turnkey PV solar systems in the Hawaii market.
In the report, the analyst notes:
"On September 30, 2009, the Company announced an agreement with Tianwei and China Construction Bank to build a production facility in Pocatello, Idaho. Per the agreement, Tianwei will receive $50 million (of an aggregate amount of $79 million) in common shares and related warrants secured by prepayments previously paid by Tianwei to HOKU for previously signed polysilicon supply agreements. Moreover, an additional $50 million in initial debt financing from Tianwei and assistance to HOKU to secure additional financing required to compete and operate the new facility.
"Tianwei will receive 33,379,287 new shares, completing a 60% Tianwei ownership of HOKU common shares outstanding. Tianwei also will receive 10 million warrants at $2.52 per share, and will hold four of the seven seats of HOKU's board of directors."
